Terms of Service

These Terms govern your use of Upwatcher (the “Service”), operated by Danylo Vyslotskyi, an individual based in Lviv, Ukraine (“we”, “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Upwatcher is a personal market-research and productivity tool for independent professionals. It surfaces public job listings, provides notifications, and offers optional AI-assisted features (match scoring, proposal drafts, profile optimization, market reports). The Service is provided as-is, without warranty of any kind.
2. Eligibility & account
- You must be at least 16 years old.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- One account per person. Do not share accounts.
- You must provide accurate registration information and keep it current.
3. Plans & payment
The Service is currently offered free of charge while we finalize paid tiers. The free plan includes a limited number of watchers and basic notification delivery; the feature breakdown is shown on the marketing pages and in the app. Paid tiers will unlock LLM-backed features (match scoring, AI proposal drafts, profile optimizer, market reports, trends & timing) and higher quotas, and will be introduced before public launch. We may change pricing on prospective terms with reasonable notice; any paid period you have already purchased will be honored at the price you paid.
4. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Reverse engineer, scrape, or replicate the Service or its data sources beyond what the Service’s features expose to you.
- Bypass quota or feature gates, or attempt to access another user’s data.
- Send spam, malware, or abusive content through the notification channels you configure.
- Use the Service to operate a competing automated bidding or auto-application bot, or to submit proposals on Upwork in violation of Upwork’s rules.
5. Third-party platforms
The Service displays and reasons over publicly available Upwork job listings to help you review the market. You are solely responsible for ensuring that your own use of the resulting information complies with the terms of service of Upwork and any other platforms you interact with (Telegram, Discord, Slack, Google). We are not affiliated with, sponsored by, or endorsed by any of those platforms.
6. AI-assisted features
Where the Service uses LLMs to summarize jobs, score matches, or draft proposals, the output is a suggestion. You are responsible for reviewing it before acting. We do not guarantee accuracy, completeness, or fitness for any particular purpose.
7. Termination
You may delete your account at any time from Settings → Account. We may suspend or terminate accounts that violate these Terms or expose us to legal or operational risk. Upon termination, your data is deleted in accordance with the Privacy Policy.
8. Disclaimers
The Service is provided “as is” and “as available”, with no warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total cumulative liability for direct damages is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD 50. Nothing in these Terms limits any liability that cannot be limited under applicable consumer-protection law.
10. Indemnity
You agree to defend and hold us harmless from any claims arising from your use of the Service in violation of these Terms or applicable law.
11. Changes
We may update these Terms. Material changes will be communicated by email or in-app banner. Continued use of the Service after the effective date constitutes acceptance.
12. Governing law & disputes
These Terms are governed by the laws of Ukraine, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Lviv, Ukraine. If you are a consumer resident in the European Union, nothing in this clause deprives you of the protection afforded by the mandatory consumer-protection laws of your country of residence, and you may bring proceedings in the courts of that country.
